COMMERCIAL CONTRACTS

• Agricultural Demand Side Management (AgDSM) Project of the United States Agency for International Development (USAID) under the Water and Energy Nexus Activity Phase-II (WENEXA-II)-Bangalore Electricity Supply Company (BESCOM) and the Energy Supply Company (ESCO) - drafting various agreements and opinion on various legal issues involved including service tax.
   
• Purchase of 68 aircrafts from Boeing Company worth approx. US$ 7 billion; agreement for in-flight entertainment from Thales; purchase agreements of software services for ground handling equipment from SITA; Aircraft Operating Lease Agreements executed by Air India in respect of Airbus A310-300 Aircrafts for Air India/ National Aviation Company Limited (NACIL), India’s national air carrier.
   
• The Firm has been engaged for negotiating Assets Purchase Agreements for a major FMCG Company.
   
• We negotiated on behalf of Air India, agreement for in-flight entertainment from Thales. Similarly, we had drafted and negotiated Air India’s purchase agreements of software services for ground handling equipment from SITA.
   
• STAR ALLIANCE AGREEMENTs – membership of STAR ALLIANCE -by Air India / NACIL with STAR ALLIANCE SERVICES GmbH -to develop a global competitive passenger airline transportation system through the networks and services of the Members=9 Agreements: Membership Agreement; Shareholders’ Agreement; Articles of Association; Amendments and Restatement to Star Alliance Agreement; Dispute Resolution Agreement; Mutual Non Disclosure and Confidentiality Agreement; Conditional Agreement; Trademarks Agreement; Master Cost Sharing Agreement; Services Agreement.
   
• Agreement between UNICEF and Prasar Bharati: telecast of an informative serial on the Indian National Network & agreement with the production house.
   
• Construction and development of Residential Townships-Agreements with builders by Larsen & Toubro Ltd.
   
• Power Purchase Agreements: Bombay Electricity Supply Undertaking (BEST) & Tata Power; other Agreements in respect of H.V. Consumers; Franchisee Agreement as per the requirements of Electricity Act, 2003 and regulations framed by Maharashtra Electricity Regulatory Commission.
   
• Contract of Tug and Towage Services for all Marine Operations at Dhamra port: for appointment of Contractors by The Dhamra Port Company Limited (a 50:50 J.V. L&T and Tata Steel).
   
• Aircraft Operating Lease Agreement for Seven Airbus A-320-200 Aircrafts and supporting documents: between Indian Airlines Ltd. and INV 320 Ltd. and Indian Airlines Ltd. and Investec Bank (UK) Ltd. (the Security Trustee).
   
• Share purchase agreement for the disinvestment: Cement Corporation of India.
   
• Consultancy Agreement for Cost Management & Operational Restructuring-NACIL.
   
• Agreements relating to issue of Sweat Equity Shares in terms of the provisions of Companies Act, 1956 & Unlisted Companies (Issue of Sweat Equity Shares) Rules, 2003- drafting MoU and Agreements – coordination with Chartered Accountants for preparation of various documents for compliance, reports & returns.
