Being empanelled as Legal
Consultant, advised National Highways Authority of India (NHAI) on various
projects based on Public Private Partnership (PPP) or on Engineering
Procurement Construction (EPC) - on more than 80 PPP Projects having total
estimated project cost of more than Rupees One Lakh Crores. The major
Projects include: Eastern Peripheral Project (Rs. 2000 crores);
Surat-Dahisar Project (Rs. 1956 crores); Badarpur Elevated, 6/8 laning
Delhi-Gurgaon Expressway etc. The assignments generally involved:
PPP Projects; PPPAC
(Public Private Partnership Appraisal Committee ) documentation;
National Highways’ Model Concession Agreements - for Operation and
Maintenance of the National Highways; Annuity based Projects;
Agreement for the Appointment of Fee Collecting Agency for collection
of Fee from the users of National Highways; Financing documents /
agreements submitted by the Concessionaire including Common Loan
Agreement; Security Trustee Agreement; Lenders Agent Agreement;
Memorandum of Operating Procedures; Power of Attorney; Indenture of
Mortgage; Agreement for Pledge of Shares; Deed of Guarantee, etc.
Drafting / vetting of
documents including Model Concession Agreement for Build, Operate and
Transfer (BOT) basis; on Operation, Maintenance & Transfer (OMT) basis
and also Model Concession Agreement on Transfer on Annuity Basis.
Advice / opinion on
various issues involved in finalization and execution of agreements
and other documents: Bid Documents (RFQ & RFP) and during various
stages of bidding process, bid evaluation; Concession agreements &
Non-Technical Schedules; incorporation of the Special Purpose Vehicle;
PPP Projects; issuance of certificate for PPPAC approval; assistance
by participation in meetings with Planning Commission; vetting of
financing documents.

vetting of Bid Documents, invitation and evaluation of bids;
Concession, Development & allied Agreements, participation in
negotiations/meetings, legal component of the Feasibility Study of the

Project for
Implementation of Mumbai Trans Harbour Link Project (MTHL). Project
Cost: US$ 605 million -connecting Sewri on Mumbai side to Chirlie on
Navi Mumbai side in Maharashtra, India- providing Consultancy Services
to The Maharashtra State Road Development Corporation (MSRDC).
Project of Urban
Re-engineering of Sion- Panvel Highway comprising the stretch from
Kalamboli to BARC Junction i.e. from km 115/800 to 140/690- as legal
expert for a leading Consultant providing Consultancy Services to
MSRDC.
Project for City Side
Development of Non-Metro Airports viz. Amritsar, Udaipur, Trichi and
Vizag Airports - appointed as Legal Adviser of Airports Authority of
India (AAI) – Concession Agreements; Bid documents; conducting ‘Due
Diligence’ of Airport documentation; opinion on various issues
involved; meetings with Ministry of Civil Aviation and Planning
Commission
Projects for
development of Railway land at Sarai Rohilla Railway Station, Delhi
and Bangalore Railway Station – advising Rail Land Development
Authority.
Development of (i)
EQ10 Berth and (ii) WQ 6 Berth in the extended Northern Arm of Inner
Harbour of Visakhapatnam Port on BOT basis -as legal advisor to Indian
